1. Services Overview

1.1 Software & Product Access

  • Orria provides access to proprietary SaaS tools and software solutions.

  • Each product may operate on a monthly, yearly, or lifetime license basis, defined on the corresponding product page.

  • Access is granted upon payment and subject to these terms.

1.2 Project-Based Services (Optional)

  • On-demand support, feature development, or custom design work is available upon request.

  • Quotes are provided on a per-project basis, with scope and delivery timelines defined in advance.

  • Additional revisions or scope changes may incur further fees.

2. Subscription & Access Terms

2.1 Product Access

  • Access to paid tools is non-transferable and tied to the original account.

  • Cancel anytime. No refunds for partially used periods unless stated otherwise.

  • Orria reserves the right to suspend access for violation of these terms or misuse of services.

2.2 Custom Work (if applicable)

  • 50% deposit required to initiate any custom feature or request.

  • Final delivery upon full payment.

  • Work begins only after all materials and content are received.

  • Rush delivery may incur additional fees.

3. Scope of Work

3.1 Included (depending on product)

  • Access to selected SaaS tools or apps

  • Feature updates as stated per product

  • Basic onboarding or tutorials when provided

  • Optional early access to beta tools

3.2 Excluded

  • Web development or coding support (unless explicitly stated)

  • Hosting or server-side setup outside the Orria ecosystem

  • Third-party integration support beyond provided documentation

  • Legal or financial advice

4. Client Responsibilities

  • Provide accurate and complete information during registration and custom requests

  • Keep account credentials secure

  • Use the products within intended use

  • Provide clear feedback on custom features or services (if applicable)

5. Intellectual Property

  • Final product files, dashboards, or custom features are licensed to the user upon payment.

  • Orria retains full ownership of core code, infrastructure, and design systems.

  • Client may not redistribute or resell without explicit permission.

  • Orria reserves the right to display non-confidential outputs in its portfolio.

6. Revisions & Support (for custom work)

  • Reasonable revisions allowed within original scope.

  • Major changes or direction shifts may require a new quote.

  • Revisions must be requested within 14 days after delivery.

7. Termination

  • Subscriptions can be cancelled anytime via user dashboard or written request.

  • Refunds, if applicable, are processed within 14 business days.

  • Project work may be terminated by either party with written notice.

  • If a custom project is terminated before completion, the client will receive a full refund of any paid amount. No kill fee applies.

8. Payment Terms

  • Payments processed via Stripe or authorized provider.

  • Subscription: auto-renewed unless cancelled

  • Projects: 50% upfront, 50% before delivery

  • Late payments may pause access or delivery

  • Invoices due within 10 business days unless otherwise agreed

9. Confidentiality

  • All client data, communications, and project details remain confidential.

  • Orria will not share private materials without explicit permission.

  • Confidentiality continues beyond the end of the engagement.

10. Limitation of Liability

  • Orria’s liability is limited to the amount paid for the service in question.

  • No guarantees on specific business results.

  • Not liable for third-party software or platform failures.

  • Force majeure events may delay delivery or access.

11. Dispute Resolution

  • Any dispute will first be addressed through good faith communication in writing between both parties.

  • Jurisdiction will be determined based on the client’s location, either in France or other.

  • In the event of formal legal proceedings, the prevailing party may be entitled to recover reasonable legal fees and associated costs.

12. Modifications

  • Orria reserves the right to update these terms with 30-day notice

  • Continued use of services implies acceptance

  • Specific client agreements override general terms if signed in writing
